Resolve EQ Terms of Use

Effective date: October 28, 2026

Version: interim-2026-11

Welcome to Resolve EQ. These Terms are the agreement between you and HappiYou LLC, a New York limited liability company ("HappiYou", "we", "us"). They apply to everyone who uses Resolve EQ, whether you joined with an access code from your school or group, or subscribed on your own. Please read Section 1 even if you read nothing else.

Plain-language summary

  • What is Resolve EQ?
Short answer: An AI coach that helps you work through a conflict and prepare for a hard conversation. Not therapy, not a crisis service.

  • Is a person reading what I write?
Short answer: No. You are talking with an AI. Nobody at HappiYou or your school reads along.

  • Who owns what I write?
    Short answer: You do.

  • Can my school see what I write?
Short answer: No, unless you share a conversation with a counselor. You can stop sharing at any time.

  • What happens if I say I am not safe?
Short answer: You see crisis resources. If your school or group has DRLs, they are told the kind of concern and who you are, never your words.

  • What if I have no DRL?
Short answer: You see resources and nobody is notified.

  • Can I delete my account?
Short answer: Yes. Ask through Get help or help@resolveeq.com. We keep a short safety record.

  • How does my subscription renew and how do I cancel?
Short answer: It renews each period until you cancel in Settings ("Manage subscription"). You keep access to the end of the period you paid for.

  • What if my school stops paying?
Short answer: You keep your account and history; new sessions may pause.

  • Who decides disagreements?
Short answer: New York law; see Section 17.

1. The most important things first

Resolve EQ is not therapy. It is not counseling, medical care, or a diagnosis tool, and it is not a crisis or emergency service. HappiYou is not a crisis responder: no one at HappiYou watches your conversations or will call you or anyone else.

If you are in danger or thinking about hurting yourself or someone else, stop and get help now. Call 911. To talk to someone now, call or text 988 (Suicide and Crisis Lifeline). The Support link in the footer has more resources.

1.1 You are talking with an AI coach, not a person. No one at HappiYou or at your school reads along.

1.2 There is a safety system. Every message you send is checked, in a Resolve session and in Advice alike. If it signals that you may not be safe, Resolve EQ shows you support resources. If your school or group has Designated Response Leads (DRLs), every DRL on its list is told the kind of concern and who you are, so they can reach you. They are not told what you wrote. Section 6 explains exactly how this works.

1.3 What you write is yours. Your school never sees what you write unless you choose to share a conversation with a counselor. We do not sell your information, show ads, or use what you write to train AI models.

2. Words we use

  • Resolve EQ
What it means: The Resolve EQ app and website, including Resolve sessions, Advice, My Journey, the home screen, the Help Center and Get help.

  • School
What it means: A college, university, or other organization that has an agreement with HappiYou to give its people access to Resolve EQ through access codes.

  • Group
What it means: An organization HappiYou sets up under an agreement, such as a team, program or community, that issues access codes. A group may name a DRL. A consumer group is a billing group HappiYou places individual subscribers in; it never has a DRL and its members are not connected to each other.

  • Access code, personal code, code reference
What it means: The code your school or group gives you so you can register. Usually it is a code just for you. If your school uses a shared code, Resolve EQ creates a code just for you when you use it. This is your personal code. It is recorded on your account permanently, with the date you used it. It comes with a code reference, which you can see in Settings and which is how your school confirms an account is yours. The code reference cannot be used to register.

  • Access period
What it means: The time your account is connected to a particular school or group.

  • Individual subscriber
What it means: A person who subscribes to Resolve EQ on their own through Stripe, with no school or group.

  • Staff
What it means: The people at your school or group with a Resolve EQ role: Admin, Counselor and DRL. One person may hold more than one.

  • DRL
What it means: Designated Response Lead: the trained person your school or group names to receive safety alerts. There can be more than one. Individual subscribers and consumer groups have no DRL. A school or group may also choose not to name one.

  • Resolve session
What it means: One use of the eight-stage flow for one situation (Voice, Reflect, Screen, Coach, Prepare or Plan, Alert or Commit, Converse or Act, Debrief). You can end a session you will not finish; it stays in My Journey.

  • Advice
What it means: A lighter open-ended conversation with the coach, with its own monthly number under your plan.

  • Your content
What it means: Everything you write or create in Resolve EQ, including your plan in your words.

3. About these Terms

3.1 Agreeing. During onboarding you read these Terms, including the Acceptable Use Policy in Section 12, in the app and accept them by ticking a box that is never pre-ticked. We record who accepted, when, and which version. If you do not accept, you cannot continue. When we publish a new version, you will be asked to accept it before you continue. The Privacy Policy is part of these Terms.

3.2 Your school's agreement. If you joined through a school or group, it has its own agreement with HappiYou covering what it pays and what it is responsible for. It does not give your school any right to your content.

3.3 Web only. Resolve EQ is a web app at resolveeq.com. There are no app store versions; if one is ever offered, store terms will be added first.

3.4 Staff. If you are an Admin, Counselor or DRL at a school or group, you also accept the Resolve EQ Staff Terms of Use when you first sign in. Those terms, not these, govern what you may do with alert data, summaries and shared items.

4. Who can use Resolve EQ

4.1 You must be 18 or older, unless your school or program has told HappiYou that its students include people under 18 (its audience is set to minors). Nobody under 13 may use Resolve EQ. Individual subscribers confirm they are 18 or older at checkout; if we learn a subscriber is under 18, we close the subscription and refund the current period. Students at a school set up for younger students cannot buy extra sessions.

4.2 One person, one account. Do not share your account or your personal code, or let anyone else use them. A Resolve EQ account exists only by redeeming a code from a school or group, or by subscribing on your own and opening the setup link we email you; there is no open sign-up. If we see signs of a shared code or a second account, we may ask you to confirm it is you through Get help, and we may pause the second account (see Section 12).

5. Talking with an AI coach

5.1 AI disclosure. Resolve EQ's coach is an AI. It is not a person, a counselor, or a clinician. Resolve EQ tells you so in these Terms.

5.2 AI can get things wrong. Use your own judgment. You decide what to say and do. Every reply the coach writes is checked before you see it; if a reply fails that check, you see a short line asking you to say more instead, and nothing from the failed reply is kept.

5.3 More than one AI model. Resolve EQ uses AI models from more than one third-party provider, chosen by task. They are bound by contract as described in the Privacy Policy.

5.4 Telling us when a response is off. You can report any AI response. We receive that message, the reason you chose, and any note you add. Your name and student ID are never attached, and your school never sees your reports.

5.5 Coaching memory. The coach remembers context between your conversations so you do not start from zero. That memory is yours, encrypted, and never shown to your school.

5.6 When the AI does not answer. If a reply does not come through, your words are saved and you can try again or keep going. A failed AI call never stops you finishing a stage.

6. The safety system

6.1 How it works. A separate safety system checks each message you send, in Advice and in a Resolve session, and the coach's replies too. It runs on our servers, apart from the coach. For each message it keeps a short record (described in the Privacy Policy) that does not contain your conversation. Nothing you write in Get help is checked by the safety system. If the safety system cannot run, Resolve EQ does not start new AI replies until it can; you see the support resources with the line "Resolve is taking a short break. If you need someone now, call or text 988, or 911 in an emergency.", and everything you saved stays saved.

6.2 If your school or group has a DRL. The system has three levels, plus two separate signals.

  • Level 1: immediate danger
What it means: Suicidal ideation, suicidal intent now, self-harm, danger to others, or being in danger from someone now.
What happens: Coaching stops. You see crisis resources right away. Every DRL on your school's list is notified by text message and email. After the resources screen you can go back to your paused session. You are told: "What you said was not shared. They were told the kind of concern, not your words."

  • Level 2: significant distress
What it means: Signs you are going through something serious.
What happens: Your conversation pauses and you are offered resources. Every DRL on the list is notified by email. You are told: "Your session is saved either way. We've let someone who can support you know, so they can check in with you."

  • Level 3: worth noticing
What it means: Signs that things may be getting heavier.
What happens: Your conversation continues. The coach may check in with you in its own words. Nothing is sent. Your school sees only counts in a weekly summary.

  • Isolation
What it means: Language about being alone or cut off.
What happens: You may be offered a check-in. It is logged for pattern review; nothing is sent right away.

  • Patterns over time
What it means: Repeated signals across sessions and Advice conversations.
What happens: May be shown to your DRL or a Counselor for review. They see which sessions and conversations contributed and when, never what you wrote.

6.3 What the DRL receives. The level, the fact that an alert was sent, your full name, verified school email and code reference, the time, its status, for Level 1 the kind of concern from the short list in 6.2, and your history of past safety levels and dates at this school. The DRL never receives what you wrote, a transcript, an AI summary of your conversation, or the safety system's written reason. If you have no verified school email on file, the DRL and the crisis contact screen also show your personal email and phone number for that alert only, so they can reach you; every such use is logged.

6.4 Alerts are automatic. You are told an alert was sent; you are not asked first.

6.5 If you have no DRL. Individual subscribers and consumer groups have no DRL, and a school or group may have chosen not to name one. Then Resolve EQ shows you support resources in the app and nothing is sent to anyone outside Resolve EQ. In the app: "No one is notified in a crisis. Resolve EQ shows you resources instead." No one will come to check on you. HappiYou does not contact you, emergency services, or anyone else. Please reach out to 988, 911, or someone you trust.

6.6 What the safety system cannot do. It can miss things and can send an alert when you are fine. It is not monitored by a person. HappiYou does not provide crisis response and cannot guarantee that an alert will be delivered, received, or acted on at any time. Once an alert is delivered to your DRL, how your school responds is up to your school. In the app, for schools and programs: "In a serious situation, staff at your school may still act quickly based on what's needed to keep you safe."

6.7 Your agreement. By accepting these Terms, you agree to the safety system working as described. It cannot be turned off.

6.8 Asking for support yourself. If your school or group has a DRL, Resolve EQ may ask whether you would like someone at your school to know you may want support: after the screening questions in a Resolve session, and whenever you tell the coach, in a Resolve session or in Advice, about sexual assault or harassment, dating violence or stalking, discrimination or bias, or hazing. You are asked once per kind per session. Nothing is sent unless you answer yes, and no one can see a no. If you say yes, your DRL receives your name and school email, the kind of request, which of those situations you named, the time, and how many sessions you have used. Never what you wrote. Resolve EQ cannot file a complaint or a formal report; the next steps are handled by your school.

7. Your account

7.1 Joining through a school or group. You enter the code it gave you and prove your school email by opening the link we send to it. Your school never sends us a list of its people. The code is recorded on your account permanently, and its code reference is how your school confirms the account is yours.

7.2 Subscribing on your own. You can subscribe at the subscribe page through Stripe without a school. You confirm you are 18 or older. After you pay, we email you a setup link to create your account; you have no access code. You are placed in a HappiYou consumer group for billing only.

7.3 Signing in. You sign in with your personal email and password. Google or Apple can be used only to finish access-code sign-up and, if you did, to confirm it is you later. There is no school single sign-on. After three wrong passwords, sign-in slows down for a short wait each time; your account is never locked. You can change your login email in Settings; we confirm the new address before it takes effect. Tell us through Get help if you think someone else has used your account.

7.4 Confirming it is you. Finished sessions and ended Advice conversations in My Journey open only after you confirm it is you with your password, or "Continue with Google" or "Continue with Apple". The confirmation lasts ten minutes while you read. Open conversations and every crisis screen are never locked. While locked, a finished session shows only "Finished session", its date and its type.

7.5 Your account belongs to you.

  • If you want to move to another school or program that uses Resolve EQ, you ask from Settings ("Request a move") with the new code and your new school email; HappiYou completes the move. Your history and progress come with you. Your previous organization's access period closes, it receives nothing from that point on, and it is told only that you are no longer linked, never where you went. HappiYou keeps your old code internally so past safety records still point at the right school.

  • If you want to continue on your own, you ask from Settings; HappiYou approves and emails you a payment link that works for 14 days. The move completes when you pay. If you do not, your request closes and nothing changes.

  • If your school ends your access (you graduate or its agreement ends), your account and content stay yours, and from Settings you can subscribe on your own or enter another school's code.

  • You are linked to one paying organization at a time. Each organization sees only its own code reference and access period.

7.6 What your school or group can and cannot see.

  • That you have an account: your name, school email, code reference, registration date, and whether you are active
Your school can never see: What you write in any conversation, including Advice, unless you share it (7.7)

  • Your Admin: numbers and totals only
Your school can never see: Your personal email or phone, except on a crisis alert as in 6.3

  • Your DRL and Counselors: a summary of your activity (session count, conflict category, general patterns, never your words), only if you are in a crisis path: a Level 1 or Level 2 alert, a Referral Flag, or a share you made
Your school can never see: A summary when you are not in a crisis path; transcripts, your plan in your words, coaching memory, your mood

  • Safety alerts (Section 6), sent to the DRL
Your school can never see: Your individual check-in answers, reports, purchases, or help requests

  • A Referral Flag, only if you say yes (6.8)
Your school can never see: The safety system's written reasons

  • Anything you choose to share with a Counselor (7.7), in the form you chose

7.7 Sharing is your choice. From a Resolve session or an Advice conversation you can tap "Share with a counselor", choose one or more Counselors or "The counseling team", choose "A summary" or "The full conversation", and confirm. A share opens that one item and your activity summary, nothing else. You can stop sharing at any time from the item or from "Shared with counselors" in My Journey; stopping is immediate and never deletes anything. Access also ends on its own if the Counselor leaves the role or your access period closes. No one at your school can ask you for a share through the app, and no one is told whether it was opened. There is no share link, export or PDF.

8. Alerts you send to people in your life

8.1 What this is. In Stage 6 of a Resolve session you can send a short email to the other person letting them know you would like to talk. You review it before it is sent, and once sent it is locked. If it bounces, you can re-send a limited number of times.

8.2 How it works. It goes to the address you enter. The person does not need an account, and it is not sent to your school. The person may be offered a way to prepare too; what they write there is theirs.

8.3 Your responsibility. Only send an alert to someone you actually want to talk with, at an address you believe is theirs. Never use it to harass, threaten, pressure or deceive anyone, or to contact someone who has asked you not to or who is protected by a court order. We may turn this feature off for your account if it is misused.

9. Purchases

9.1 Your school's plan comes first. If you joined through a school or group, its plan sets how many sessions and Advice conversations you have. Anything you buy is used after that, never appears on your school's bill, and your school never sees it. If your school's sessions run out, you can ask your school for more from the app ("Request access"); your school is told your name, nothing about your sessions.

9.2 When a session counts. A Resolve session counts against your plan or purchases when you clear the screening step (Stage 3). If you stop before that, nothing is used. If you clear screening and stop later, including by ending the session, it has been used. Advice conversations count when you open one.

9.3 Packs and the monthly option. You can buy a pack of additional sessions through Stripe hosted checkout, at the price shown at checkout. A pack is a one-time purchase, does not renew, and never expires. You may also buy a monthly option, at the price shown at checkout; its sessions are that month's allowance and expire at the end of the month, which we tell you before you buy. A purchased balance is yours: it moves with you if you change schools. There is no buying at a school set up for younger students.

9.4 Individual subscriptions. An individual subscription gives you the number of sessions and Advice conversations shown in the app for your plan, each billing period, at the price shown at checkout. It renews automatically until you cancel. Before you subscribe we show the price, the period, and how to cancel. To change your card, see receipts or cancel, use "Manage subscription" in Settings, which opens Stripe's secure customer portal. If you cancel, you keep access to the end of the period you already paid for, then your access lapses; there is no grace window. If a renewal payment fails, your access lapses at the renewal date and is restored when a renewal is paid. While lapsed you see "Your subscription has ended." with a "Renew your subscription" button and the crisis numbers; your history is saved and waiting.

9.5 Payments. Stripe processes payments. HappiYou never sees or stores your card number.

9.6 Refunds and disputes. If a pack purchase is refunded or disputed, only the unused sessions are taken back; your balance never goes below zero, and HappiYou keeps a record.

9.7 Taxes. Any applicable sales tax is shown at checkout before you pay.

9.8 If your school's access is paused. If your school or group has an invoice more than seven days past due, HappiYou may pause its access after 24 hours' written notice. You keep your login, history and My Journey, but cannot start a new Resolve session or Advice conversation until it is restored. In the app: "New sessions and Advice conversations are paused for your account right now. Your history and My Journey are still here. Please contact your school or group to find out more." If something you write during a pause shows a crisis, the safety system runs in full and your DRL is alerted as usual; you receive the crisis response, not a coaching session.

9.9 The renewal disclosure. The subscribe page, the Stripe checkout page and the email we send after you pay all show your plan, its price, how often it renews, the date it next renews, and how to cancel: anytime in Settings, under "Manage subscription". You keep access until the end of the period you paid for.

9.10 If you... then.

  • Cancel your subscription
Then: You keep access to the end of the paid period, then it lapses. Your history stays.

  • Let a payment fail
Then: Access lapses at the renewal date and comes back when a renewal is paid. Nothing is deleted.

  • Ask to be deleted
Then: Your conversations and account are deleted; the short safety record is kept (14.1). Unused purchases end.

  • Move to another school or program
Then: Your history moves with you; your old school is told only that you are no longer linked.

  • Are at a school that pauses for nonpayment
Then: You keep your history; new sessions pause; crisis help still works (9.8).

  • Have your school end your access
Then: Your account stays; you can subscribe or enter another code (14.3).

  • Break the Acceptable Use Policy (Section 12)
Then: We may warn you, turn off a feature, or pause or close your account, and you can ask us to look again (12.4).

10. Your content

10.1 You own your content.

10.2 The permission you give us. So that Resolve EQ can work, you give HappiYou a limited, non-exclusive, royalty-free permission to store, process and display your content and to send it to our service providers (including AI model providers), only to provide Resolve EQ to you, keep it secure, create de-identified combined information, and meet legal obligations. This permission ends when your content is deleted, except for de-identified information and the safety record described in Section 14.

10.3 No AI training. We do not use your content to train AI models, and our providers are bound not to.

10.4 AI responses. You may use the coach's responses for your own personal purposes, but not to build or train another product. Resolve EQ has no export or copy feature; your content stays in My Journey for as long as your account exists, and you can ask for a copy through Get help.

10.5 Ideas you send us. We may use feedback and ideas without owing you anything. This does not include your content.

11. The Semester check-in

11.1 What it is. If you joined through a school, Resolve EQ asks you to complete a 12-item check-in about how you handle conflict before you start, and again at the end of the semester. Both are required before you continue. Group members and individual subscribers do not take it.

11.2 How answers are used. Your individual answers are never shared with your school or anyone else. They are used only in de-identified, combined form, and never in marketing.

12. Acceptable use policy

12.1 This section is the Resolve EQ Acceptable Use Policy. When these Terms mention the Acceptable Use Policy, they mean this section.

12.2 When you use Resolve EQ:

  • Use it for your own real situations.

  • Treat people with respect.

  • Do not share your account or your personal code, or let anyone else use them (4.2).

  • Do not misuse alert emails (8.3).

  • Do not try to get around the safety system, extract its instructions or the coach's instructions, or break into Resolve EQ.

12.3 It is never a violation to tell the truth about how you feel, including thoughts of hurting yourself.

12.4 If you break these rules, we may warn you, turn off a feature, or pause or close your account (14.2). You can ask us to look again.

13. What HappiYou owns

Resolve EQ, including its software, design, coaching methods, prompts, safety system, and the names HappiYou and Resolve EQ, belongs to HappiYou. We give you a personal, limited, non-transferable, revocable permission to use Resolve EQ under these Terms.

14. Closing your account, or us pausing it

14.1 You can leave anytime. Use Get help and choose "My account and data", or email help@resolveeq.com. There is no delete button in the app on purpose. A HappiYou Admin confirms it is you and deletes your conversations, coaching memory, plan, Advice, check-in answers, moods, help requests and account. We keep, with your full name, verified school email and school and nothing else about you: the record that a safety alert was raised and delivered, the safety classifications, pattern alerts (without the list of sessions), Referral Flags, your terms acceptances, and your purchases and subscription. We keep it indefinitely; if we ever set a limit it will be no shorter than 10 years. If you sent an alert, the recipient's own preparation answers stay but are no longer linked to you. Deleting your account ends any unused purchases and your subscription. You receive an email confirming the deletion.

14.2 When we may pause or close an account. If you seriously or repeatedly break these Terms, including the Acceptable Use Policy in Section 12, to protect someone's safety or Resolve EQ's security, or if the law requires it. When safe and lawful, we will tell you why.

14.3 Your school's access. Your school can end your access, or have its own access paused for nonpayment (9.8), but it cannot delete your account or content. If your school asks HappiYou to remove you, you are told that your account stays and how to continue.

14.4 If we stop offering Resolve EQ, we will give you at least 30 days' notice when we can and refund unused prepaid purchases and the unused part of a paid subscription period.

14.5 Sections 6.6, 10.2 (as to de-identified information and the safety record), 10.5, 13, and 15 through 19 continue after your account closes.

15. Disclaimers

15.1 Resolve EQ is offered for coaching and education. It is not therapy, counseling, medical or legal advice, and creates no professional relationship.

15.2 To the extent the law allows, Resolve EQ is provided "as is" and "as available". We do not promise that it will always be available, that the AI will be accurate, that the safety system will notice every risk, or that any alert will be delivered or acted on.

15.3 Some places do not allow some of these disclaimers.

16. Limits on our responsibility

16.1 To the extent the law allows, HappiYou is not responsible for indirect, incidental, special, consequential or punitive damages, or lost profits or data.

16.2 Our total responsibility to you for all claims is limited to the greater of (a) the amount you paid HappiYou in the 12 months before the claim and (b) $100.

16.3 Nothing limits responsibility that cannot be limited by law.

17. Resolving disagreements

17.1 Talk to us first: help@resolveeq.com. We will try to resolve it within 30 days.

17.2 Governing law. New York.

17.3 Forum. Any dispute that is not resolved under 17.1 will be decided only in the state or federal courts in New York County, New York, and you and HappiYou agree to their jurisdiction. You may still bring a claim in small claims court where you live if it qualifies.

18. Changes to these Terms

18.1 We may update these Terms. For a significant change we will tell you in the app and by email before it takes effect.

18.2 When a new version is published, the app asks you to accept it before you continue. If you do not accept, you can stop using Resolve EQ and ask to be deleted.

19. Other legal terms

19.1 Whole agreement. These Terms, including the Acceptable Use Policy in Section 12, and the Privacy Policy are the whole agreement between you and HappiYou about Resolve EQ.

19.2 Severability and waiver. If any part is unenforceable, the rest applies. If we do not enforce a term right away, we have not given it up.

19.3 Transfer. You may not transfer these Terms or your account. We may transfer them in a merger, acquisition or sale of our business, and the new owner must honor them; we will tell you first.

19.4 Electronic communications. You agree that we may give you notices, disclosures and receipts electronically, in the app or by email to your login email, and that these satisfy any requirement that they be in writing. Keep your login email current; if you change it, we confirm the new address before notices go there.

19.5 Accessibility. We aim for Resolve EQ to meet WCAG 2.1 AA. If something does not work for you, or you need information in another format, ask through Get help and we will help you within one business day.
